优秀 (you3xiu4) should be used to describe someone or something that is outstanding or excellent. It should not be used to describe something that is merely average or mediocre. For example, it would not be appropriate to say 他的成绩一般 (ta1 de5 cheng2ji2 yi1ban1, "his grades are average").

1. 优秀 focuses on the quality -- "excellent", while 出色 focuses on comparison -- compared to others, something stands out (出色 = outstanding). These two are interchangeable in many cases. There is a slight nuance to it, depends on which area you want to emphasize on:

2. There are some cases where 优秀 is used, and 出色 not so often:
